Guardianships & Mediation

We represent clients wishing to obtain a legal guardianship of the person and estate of an elderly, disabled, and/or incapacitated person. We defend individuals against unwanted guardianships and intervene in pending guardianship proceedings on behalf of potential guardians.

Rose Cohen mediates cases relating to guardianship, probate and elder law issues and is a certified guardianship mediator.
Drafting and Reviewing Documents

If you need to enter into any type of business or personal agreement, we will draft the document to protect your rights and interest, or review a document provided to you by the other Party to insure that you are protected. Many problems and significant future expense can be avoided by taking this protective step.

Real Estate and Closings

We can handle drafting and reviewing of deeds, promissory notes, mortgages and contracts to purchase or sell real estate and all other matters relating to the process or acquiring or selling real estate. Other real estate services:

  • Adverse possession, boundary disputes, trespass, and easements
  • Litigation relating to the above issues
  • Formation and representation of homeowners' associations and condominium associations
  • Representation of homeowners in their relationships with above organizations
  • Enforcement of restrictive covenants and defending against attempts to enforce them

Contracts: Drafting and Review

We help you clarify your goals and translate them into legally binding contractual language. We review contracts before you enter into them, advising you on the legal consequences and interpreting confusing legalese in a way that allows you to make informed decisions. We also modify existing contracts to reflect agreed-upon changes.

Formation and Maintenance of Business Organizations

We meet with the client either individually or together with other involved parties to select the most effective form of business organization for the client's needs. The client may elect to form a LLC, corporation, limited or general partnership, or to be a sole proprietor. We will draft the organizational documents, file them with the appropriate authority, obtain an employer identification number, and take care of any other matters related to the formation and operation of the client's business entity. We can also modify or change existing entities, obtain assumed names, change registered agents and offices, and advise the client as to how to meet statutory requirements for the business. If disputes with business associates arise, we can pursue legal remedies in court.

Construction Law and Mechanics Liens

We represent builders, contractors, subcontractors and property owners in the process of construction of new and existing residential and commercial properties. We review and draft documents, file and defend against mechanics liens, make claims against construction bonds, and pursue legal rights related to these matters in Court.

Intentional Torts and Deceptive Trade Practices

We advise clients about potential liabilities and rights with respect to claims of fraud, misrepresentation, infliction of emotional distress, discrimination and consumer rights, and can perform any necessary litigation relating to these matters.

Wills and Powers of Attorney

It is extremely important to have a current will, physician directive, medical powers of attorney and durable powers of attorney to protect yourself and your family. This is especially true if you are elderly, have children, grandchildren, or a large estate. It is often appropriate to consider estate planning and asset protection at the same time. Our attorneys can draft or review any of these documents, insuring that your interests and those of your family are well-protected.

Estate Planning and Trusts

We can help you to thoroughly plan your estate and create any trusts, using tools designed to avoid probate and minimize the taxable value of the estate, thus saving your heirs money, time, and inconvenience.
